Terms of Service

1. Agreement

These Terms of Service (“Terms”) are an agreement between you and Agently Inc. (“Agently”, “we”, “us”) governing your use of the Agently platform, including the AgentFlow dashboard, build and agent chat, automations, and any related websites and services (together, the “Service”). By creating an account, accepting an invite, or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to it.

2. The Service

Agently lets you build, run, and share live documents and micro-apps: dashboards assembled from data elements, agent workers, and scheduled automations, optionally connected to third-party services you authorize. The Service is under active development; features may change, be added, or be removed at any time.

3. Accounts and access

Access is currently by account or private invite. You are responsible for safeguarding your login credentials and for all activity under your account. Invites are personal: they are bound to the email address they were sent to and may not be transferred. Notify us promptly at paceyzz33@gmail.com if you suspect unauthorized use of your account.

4. Your content

You retain ownership of the documents, dashboards, chat messages, configurations, and other material you create or upload (“Content”). You grant us a limited, worldwide, non-exclusive license to host, store, process, transmit, and display your Content solely to operate, secure, and improve the Service — including processing Content with AI model providers to power features you use, and displaying it to people you have shared it with.

You are responsible for your Content, and you represent that you have the rights needed to submit it and to instruct the Service to access any data it retrieves on your behalf.

5. Connected services and credentials

The Service can connect to third-party services (for example Teachworks or Google) using API keys or account authorizations you provide. You must have the right to use those credentials and to access the connected data. Your use of a third-party service remains governed by that service’s own terms. Connected credentials are used server-side to act on your instructions — for example fetching data into a dashboard you built — and are not shown to people you share documents with. We may suspend a connection that appears abusive, unauthorized, or harmful.

6. AI features

Parts of the Service use large language models to assemble documents, run agent workers, and respond in chat. AI output can be inaccurate, incomplete, or unsuitable for your purpose. You are responsible for reviewing output before relying on it or acting on it, especially where it drives automations against real data. The Service is not a source of legal, financial, medical, or other professional advice.

7. Acceptable use

You agree not to:

• break the law, infringe others’ rights, or misuse data accessed through connected services;
• probe, disrupt, or overload the Service, or bypass access controls, rate limits, or sharing restrictions;
• use another person’s credentials, or connect accounts or API keys you are not authorized to use;
• use the Service to send spam, distribute malware, or run deceptive or harassing automations;
• resell or provide the Service to third parties as your own offering without our written consent.

8. Sharing

You control who can view or edit your documents through projects, shares, and invites, and you can revoke access at any time. When you share a document, its data panels are rendered for recipients using your connected credentials — share deliberately. Recipients must use shared material in accordance with these Terms.

9. Fees

The Service is currently offered without charge during early access. We may introduce paid plans in the future; if we do, pricing will be communicated in advance and continued use of paid features will require your agreement.

10. Our intellectual property

The Service — including its software, design, and branding — is owned by Agently and its licensors and is protected by law. Except for the rights expressly granted to you in these Terms, we reserve all rights. Feedback you send us may be used without obligation to you.

11. Termination

You may stop using the Service and delete your documents at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the Service. Upon termination we will, on request and where feasible, give you a reasonable opportunity to export your Content. Sections that by their nature should survive (including 4, 10, 12, 13, and 14) survive termination.

12. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI output or third-party data will be accurate.

13. Limitation of liability

To the maximum extent permitted by law, Agently will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from or related to the Service. To the same extent, our total liability for all claims in any twelve-month period is limited to the greater of the amount you paid us for the Service in that period or USD $100. Nothing in these Terms excludes liability that cannot be excluded by law.

14. Governing law

These Terms are governed by the laws of the jurisdiction in which Agently Inc. is established, without regard to conflict-of-law rules, and disputes will be resolved in the courts of that jurisdiction unless applicable law gives you the right to bring them elsewhere.

15. Changes and contact

We may update these Terms as the Service evolves. For material changes we will give reasonable notice — for example in the app or by email — and the “Last updated” date above will change.
